Take notice that a regular meeting of the Board of Directors of Paisano Housing Redevelopment Corporation and EP RAD-3 PFC will be held at 5300 E. Paisano Dr. El Paso, Texas, 79905 Wednesday, January 24, 2018 Immediately following the Annual Meeting of the Board of Commissioners of the Housing Authority of the City of El Paso, Texas

To consider and possibly act on the following

A.        Preliminary Items

1.         Call to Order

3.         Approval of minutes of a regular joint meeting that took place on January 24, 2018.

4.         Discussion and action by Paisano Housing Redevelopment Corporation (“PHRC”) regarding resolution authorizing the Secretary to provide EP Sun Plaza, LP (the “Partnership”) with a historic tax credit loan to provide financing for the State Historic Credits, to enter into a donation agreement with EPR3 Sun Plaza GP, LLC (the “General Partner”) for the donation of the State Historic Credits, to enter into a purchase agreement with Foss Texas Fund, LLC (“Foss”) to sell the State Historic Credits, and authorizing the Secretary to enter into all documents contemplated in connection with the historic tax credit loan, donation agreement, and purchase agreement and/or reasonably necessary in connection with the Partnership’s development debt and equity financing for the Sun Plaza Apartments.

5.         Discussion and action by RAD-3, PFC (“PFC”) regarding resolution authorizing the Secretary and Chief Executive Officer to act as the sole             member of the general partner of EP Sun Plaza, LP (the “Partnership”), and in such capacity, enter into all documentation reasonably required to secure development debt and equity financing in the form of a seller loan from HACEP, a loan of the proceeds from the sale of bonds issued by Alamito Public Facility Corporation, a construction bridge loan from Citibank, N.A., a historic tax credit loan from Paisano Housing Redevelopment Corporation, and rental assistance pursuant to the Rental Assistance Demonstration Program administered by HUD, all in furtherance of the Partnership’s development, rehabilitation, ownership and operation of the Sun Plaza Apartments.

D.        Executive (Closed) Session

Although there is no executive or closed session planned for this meeting, the Board of Directors reserves its right to go into executive session, or a closed private session, to take up any items on or related to this agenda that may be appropriately taken up in executive session pursuant to the Texas Open Meetings Act, Texas Government Code 551.071 to .076, for such matters as consultation with an attorney on a matter covered by attorney-client privilege, to confer regarding threatened or pending litigation, or to confer regarding real estate, personnel, and/or security matters that may be discussed in a closed session.   No action and no votes will be taken in any executive session.
