Take notice that a joint meeting of the Board of Directors of Paisano Housing Redevelopment Corporation and EP RAD-3 PFC will be held at 5300 E. Paisano Dr. El Paso, Texas, 79905 Wednesday, January 24, 2018 immediately following the Regular Board Meeting of EP Housing Operations and Management Enterprises, PFC

To consider and possibly act on the following:

A.        Preliminary Items

            1.         Call to Order

            2.         Establishment of Quorum

            3.         Approval of minutes of a regular joint meeting that took place on December 20, 2017.

B.        Consent Agenda Items

            There are no consent agenda items scheduled for this meeting.

C.        Regular Agenda:  Items Considered for Action                                                                        

4.         Discussion and action by the Paisano Housing Redevelopment Corporation (“PHRC”) Board of Directors of a resolution authorizing the Secretary to provide EP Sandoval Two, LP (the “Partnership”) with a gap financing loan to supplement the Partnership’s other sources of financing during construction as needed, and to enter into any documents, instruments, and other agreements as may be reasonably necessary to facilitate the Partnership’s development, rehabilitation, financing and ownership of the Sandoval Apartments and the Valle Verde Apartments. 

            5.         Discussion and action by the RAD-3, PFC (“PFC”) Board of Directors of a          resolution authorizing the Secretary and Chief Executive Officer to act as the sole member of the general partner of EP Sandoval Two, LP (the “Partnership”), and in such capacity, enter into all documentation reasonably required to secure development debt and equity financing in the form of a HUD-insured FHA loan, a  loan of the proceeds from the sale of bonds issued by Alamito Public Facility Corporation, a bridge loan, a seller loan from HACEP, and a gap financing loan from Paisano Housing Redevelopment Corporation, and a rental assistance pursuant to the Rental Assistance Demonstration program administered by HUD, all in furtherance of the Partnership’s development, rehabilitation, ownership and             operation of the Sandoval Apartments and the Valle Verde Apartments.          

D.        Executive (Closed) Session

            Although there is no executive or closed session planned for this meeting, the Board of Directors reserves its right to go into executive session, or a closed private session, to take up any items on or related to this agenda that may be appropriately taken up in executive session pursuant to the Texas Open Meetings Act, Texas Government Code 551.071 to .076, for such matters as consultation with an attorney on a matter covered by attorney-client privilege, to confer regarding threatened or pending litigation, or to confer regarding real estate, personnel, and/or security matters that may be discussed in a closed session.   No action and no votes will be taken in any executive session.

E.        Conclusion of Meeting

            6.         Adjournment.
