Take notice that a regular joint meeting meeting of the Board of Commissioners of the Housing Authority of the City of El Paso, Texas (“HACEP”) and its affiliated entities listed below will be conducted by videoconference and telephone participation Wednesday, January 20, 2021, commencing at 5:30 p.m.

Affiliated entities also meeting simultaneously with HACEP include the Board of Directors of the following entities:

Affordable Housing Acquisitions (“AHA”); Alamito Public Facilities Corporation (“APFC”); Paisano Housing Redevelopment Corporation (“PHRC”) and Affordable Housing Enterprises (“AHE”)

                             TEMPORARY SUSPENSION OF OPEN MEETINGS LAWS DUE TO EMERGENCY

The Texas Governor temporarily suspended specified provisions of the Texas Open Meetings Act to allow telephonic or videoconference meetings and to avoid congregate settings in physical locations.

Notice is hereby given that a Regular Meeting of the Board of Commissioners of the Housing Authority of the City of El Paso, Texas (HACEP) and its affiliated governmental entities listed above will be conducted on January 20, 2021 at 5:30 PM.  Members of the public may view the meeting via the following:

Preliminary Items

1.         Call to order. (start of meeting for HACEP and all affiliates with a posted agenda)

2.         Establishment of a quorum. (for HACEP and all affiliates with a posted agenda)

3.         Resident Association Presidents to be heard.              

4.         Public comment.  (Citizens to be heard)                      

5.        Approval of minutes.  (for HACEP and all affiliates with a posted agenda)

           a. HACEP.  Approval of minutes of a regular joint meeting that took place on December 16, 2020.

           b. HACEP/PHRC.  Approval of minutes of a public hearing and special joint meeting that took place on December    18, 2020.

6.         Recognition of Distinguished Budget Presentation Award from Government Finance Officers Association (GFOA).

7.         Presentation of Technology Innovation Award trophy. 

B.        Consent Agenda

Matters posted under the consent agenda will be considered by the Board of Commissioners as a routine matter and will be enacted by one single motion unless separate discussion is requested by a member of the Board of Commissioners.  When the consent agenda vote has been taken, if an item has not been called out for separate discussion, the item will be approved along with any and all other consent agenda items approved at the same time.   The Board may reconsider any item at any time during the meeting.   The wording of all agenda items shall appear in the minutes of the meeting as posted, unless otherwise revised by this or other motions made and approved during the meeting, without the necessity of staff reading the wording by each item into the record. 

8.         HACEP/AFFORDABLE HOUSING ENTERPRISES Consent agenda:  Purchasing and construction contract and purchase order awards:               

A. Request that the HACEP Board of Commissioners and the AHE Board of Directors ratify construction contracts issued to Complete Remodeling of El Paso, Inc. for the Blue Flame TI work for Unicare in the amount of $136,500, Desert Star in the amount of $157,500 and Winn Management Co. in the amount of $257,250.  These services were procured by Franklin Development Company through the request for proposal (RFP) process.

Department:  Development   Award to:   Complete Remodeling of El Paso, Inc.   $551,250 combined estimate

Funding source:   Project approved budget  Procurement type:   Request for proposal  Contract term:  New contract

B.  Technical amendment to Resolution No. 2481 from March 2020 regarding criminal background screening policy and procedures.

C.  Rescinding Resolution No. 2481 from December 2020 and re-authorizing identical resolution in support of an inventory removal application for the disposition of up to 269 units of public housing located at various individual home sites, commonly referred to as “Scattered Sites” homes in El Paso, Texas.

9.         Affordable Housing Acquisitions/Paisano Housing Redevelopment Corporation Consent agenda:  Purchasing and construction contract and purchase order awards:

A.  Affordable Housing Acquisitions (AHA): Request that the Contracting Officer be authorized to sign contract modification #0003 Villa Alegre renovation contract # OPS-C-0022 for 7 UFAS units.  This contract was procured through the request for proposal (RFP) process.  The recommendation is as follows:

Procurement type:    Request for proposal     Contract term:    Change order

B.    Paisano Housing Redevelopment Corporation (PHRC):   Request to approve the funding of Item 8A above in the amount of $378,786.   Paisano Housing Redevelopment Corporation will be funding the contract for renovations at the Villa Alegre apartments.   This recommendation, if approved, does not require a formal resolution due to the funding amount.

C.        Regular Agenda:  Action Items for Specific Residential Developments

10.       Eisenhower 66 Apartments

a.  HACEP:  Discussion and action regarding resolution approving issuance by Alamito Public Facilities Corporation of the Alamito Public Facilities Corporation multifamily housing revenue note (HACEP RAD conversion program (Eisenhower 66 Apartments) project); and containing other provisions relating to the subject.               

b.   APFC:  Discussion and action regarding resolution authorizing the issuance, sale and delivery of Alamito Public Facilities Corporation multifamily housing revenue note (HACEP RAD conversion program (Eisenhower 66 Apartments) project) series 2021 to refund the Alamito Public Facilities Corporation multifamily housing revenue bonds (HACEP RAD conversion program Eisenhower 66 Apartments) project) series 2019; approving the form and substance of and authorizing the execution and delivery of documents and instruments necessary to carry out such refunding; and containing other provisions relating to the subject.               

11.       Pooley Apartments

a.   HACEP:  Discussion and action regarding resolution authorizing the issuance of multifamily housing revenue bonds or other obligations with respect to HACEP RAD conversion program Pooley Apartments multifamily residential rental project; authorizing the filing of application for allocation of private activity bonds with the Texas Bond Review Board; and authorizing other action related thereto.                                                                                           

b.   APFC:  Discussion and action regarding resolution declaring intent to issue multifamily housing revenue bonds or other obligations with respect to HACEP RAD conversion program Pooley Apartments multifamily residential rental project; authorizing the filing of application for allocation of private activity bonds with the Texas Bond Review Board; and authorizing other action related thereto.                                                                     

12.       Salazar Apartments

a.   HACEP:  Discussion and action regarding resolution authorizing the issuance of multifamily housing revenue bonds or other obligations with respect to HACEP RAD conversion program Salazar Apartments multifamily residential rental project; authorizing the filing of application for allocation of private activity bonds with the Texas Bond Review Board, and authorizing other action related thereto.                                      

b.   APFC:  Discussion and action regarding resolution declaring intent to issue multifamily housing revenue bonds or other obligations with respect to HACEP RAD conversion program Salazar Apartments multifamily residential rental project; authorizing the filing of application for allocation of private activity bonds with the Texas Bond Review Board, and authorizing other action related thereto.                                                                                                                            

13.       Machuca Apartments

a.  HACEP:  Discussion and action regarding resolution to negotiate and execute an interlocal or arrangement with a Housing Finance Corporation to serve as a conduit issuer for up to $20 million in multifamily housing revenue bonds or other obligations with respect to the redevelopment of the Machuca Apartments multifamily residential rental project; and authorize and approve the execution and delivery of any and all necessary and required instruments and agreements by and between HACEP, its subsidiaries, and its Bond Counsel to accomplish and close on the financing of the Machuca Apartments Project.    

14.       Consolidated Loan for Three Properties (Blue Flame, Old Gonzalez, Cisneros)

a.   PHRC:  Discussion and action regarding resolution to approve a loan from BBVA Bank of up to $4 million for the commercial and retail spaces at the Blue Flame Building and for renovations and rehabilitation of the Old Gonzalez and Cisneros properties.                                                                   

15.       Discussion of Acquisition of Existing Apartment for Low-Income Housing in Support of the Statutory Mission of the Housing Authority of the City of El Paso and its affiliates.

a.   HACEP.  Discussion and action to approve acquisition by the Housing Authority of the City of El Paso or its public facility corporations or affiliates of land and interests of 264 apartments units, located at 1530 George Dieter Dr., El Paso, Texas 79936.                           

b.   PHRC. Discussion and action to approve acquisition by Paisano Housing Redevelopment Corporation of land and interests of 264 apartment units, located at 1530 George Dieter Dr., El Paso, Texas 79936.                                                                                            

c.   HACEP/PHRC.  Discussion and action to approve formation of limited liability companies or other entities to be owned by the Housing Authority of the City of El Paso, Paisano Housing Redevelopment Corporation, or other public facility corporations/affiliates thereof, in support of the foregoing acquisition of interests of 264 apartment units, located at 1530 George Dieter Dr., El Paso, Texas 79936.                  

D.        HACEP Reports

16.       Secretary’s reports.

            *      Update on public health and safety and business continuation measures during the coronavirus/COVID-19 pandemic.

            *      RAD update.

17.       Chief Financial Officer reports.

             *     Quarterly financial update to be provided during the February 2021 Board meeting.

18.       Report on changes and/or contract modifications pursuant to delegation of authority under Section 7 of the Development Procedures Manual.

E.        Executive (Closed) Session

19.       Executive Session.

The Board of Commissioners of HACEP or the Board of Directors of the other affiliates meeting today may go into executive session, or a closed private session, to take up any items on or related to this agenda that may be appropriately taken up in executive session pursuant to the Texas Open Meetings Act, Texas Government Code 551.071 to .076, for such matters as consultation with an attorney on a matter covered by attorney-client privilege, to confer regarding threatened or pending litigation, or to confer regarding real estate, personnel, and/or security matters that may be discussed in a closed session.   No action and no votes will be taken in any executive session.

             a)   Discussion and update by legal counsel on pending litigation matters.  (Section 551.071)

             b)   Discussion and advice of legal counsel regarding personnel matters.  (Sections 551.071 and .074).

This notice has been posted at the central offices of the HACEP, PHRC, EP RAD-3 PFC, and AHE, at 5300 East Paisano Drive, and notice has been provided to the El Paso County Clerk more than 72 hours in advance of the above meeting, as required by chapter 551 of the Texas Government Code.
